Restructuring of the Broadband Business

SOFTBANK BB Corp. (Head office: Minato-ku, Tokyo; President & CEO, Masayoshi Son; “SOFTBANK BB”), SOFTBANK CORP’s wholly-owned subsidiary, is pleased to announce a decision to conduct a business restructuring to further strengthen its broadband business.

1. Objectives of Restructuring

Four years have passed since Yahoo! BB ADSL, a broadband general service provided by SOFTBANK BB, started providing its services in September 2001. About five million lines are now connected and the service has grown to become the core business of the SOFTBANK Group.

The restructuring is now being conducted to manage the stable provision of the ADSL business for the long term, and the rapid development of new businesses, including the content service business that SOFTBANK BB will develop, the FTTH business and distribution.

2. Summary of Restructuring

  • (1) The modem rental business will be spun-off from the broadband business of SOFTBANK BB to become BB Modem Rental Inc., a company specializing in modem rental. (November 1)

  • (2) SOFTBANK BB will be divided into BB TECHNOLOGY Corp., specializing in the ADSL business, and SOFTBANK BB Corporation, specializing in other businesses such as the FTTH and distribution business. (December 1)

  • (3) BB Modem Rental Inc., will be sold to Yugen Kaisha Gemini BB, a Japanese company. (in December).

  • (4) A business trust agreement will be concluded between BB TECHNOLOGY Corp. and BB Modem Rental Inc.

3. Impact on the Company’s Earnings

The impact of the restructuring on the company’s results will be minimal.
